Tony’s clients include public and private companies, private equity and hedge fund firms, and executives in a wide range of industries located throughout the United States.
He serves as outside general counsel to businesses throughout the United States operating in such areas as e-payment, marketing, sports marketing and content production and distribution, natural foods and energy bars, catalog and internet retail sales, electricity and natural gas distribution services, renewable energy, insurance, infrastructure, manufacturing, and marine design and composites. He works with numerous companies from their initial formation, through financings, operations and growth, and successful exit.
Tony has extensive experience in the design and negotiation of all aspects of public and private company executive employment agreements and compensation structures, including tax, corporate and partnership equity issues, deferred compensation, securities, fiduciary duties, and restrictive covenants. His clients in this area include public and private company executives and compensation committees, as well as private equity investors, throughout the United States in industries ranging from fashion and design, cosmetics, software, oil and gas, food and beverage, e-commerce, manufacturing, media, insurance, sports marketing, capital markets real estate, investment banking, and private equity. He represents individual executives and entire management teams in connection with management buy-outs and buy-ins and other change in control transactions, going public and going private transactions, and bankruptcy and insolvency restructurings. He also advises executives and employers in connection with noncompetition and nonsolicitation covenants, corporate opportunities, and fiduciary duties.
Tony also represents professionals at investment banking and private equity firms and assists in the structuring of private equity, hedge, and pledge funds and other investment vehicles, as well as the structuring, acquisition, management, and disposition of portfolio investments in operating companies.
A significant portion his practice involves the negotiation and design of investment and operating company structures, including limited liability companies and joint ventures as well as corporations and contract relationships, with particular focus on issues involving partnership tax and taxation of investment securities, investor rights, equity compensation, governance and control, and management.
Tony lives in Falmouth, Maine with his wife and four daughters. He coaches a travel soccer team and coaches skiing at Carrabassett Valley Academy.
